Terms of Service
1. These Terms
1.1 What these terms cover.
These are the terms and conditions on which we supply services to you.
1.2 Why you should read them.
Please read these terms carefully before you submit your order to us. These terms tell you who we are, how we will provide services to you, how you and we may change or end the contract, what to do if there is a problem, and other important information. If you think there is a mistake in these terms or require any changes, please contact us to discuss.
2. Information About Us and How to Contact Us
2.1 Who we are.
We are Clyde Communications, and our registered office is at 17A Underwood Road, Paisley, Renfrewshire, PA3 1TQ.
2.2 How to contact us.
You can contact us by telephoning our team on 0141 123 4567 or by writing to us at info@clydecomms.com or 17A Underwood Road, Paisley, Renfrewshire, PA3 1TQ.
2.3 How we may contact you.
If we have to contact you, we will do so by telephone or in writing (including email) at the contact details provided through your online client portal.
2.4 “Writing” includes emails.
When we use the words “writing” or “written” in these terms, this includes emails.
3. Our Contract with You
3.1 How we will accept your order.
You must accept our offer in writing (as per the terms on any quotation) or by completing an online order for one or more of our services. Our acceptance of your order will take place when we contact you to confirm acceptance (written or verbal), at which point a contract will come into existence between you and us.
3.2 If we cannot accept your order.
If we are unable to accept your order, we will inform you in writing and will not charge you unless initial costs have been agreed and incurred. This may occur due to stock shortages, unexpected resource limits, credit issues, pricing errors, or unachievable delivery deadlines. We are not liable for any losses arising in such circumstances.
3.3 Your account number.
We will assign an account number to your services and confirm it when we accept your order. Please quote this number whenever you contact us about your services.
4. Your Rights to Make Changes
If you wish to make a change to the services you have ordered, please contact us. We will confirm if the change is possible and notify you of any impact on price, timing, or other terms. Where necessary, we may issue a written variation agreement for your approval. If changes are not possible or acceptable, you may choose to end the contract (see clause 7)
5. Our Rights to Make Changes
5.1 Minor changes to the works.
We may make minor changes:
(a) to reflect changes in relevant laws or regulations; and
(b) to implement reasonable technical improvements or adjustments discovered during service delivery.
6. Providing the Services
6.1 Delivery costs.
Any delivery costs will be notified before you place your order, if applicable.
6.2 When we will provide the services.
We will begin services on the date or within the timeframe agreed in your order. Estimated completion dates will be provided during the order process. Emergency work may be prioritised where unresolved issues may cause further detriment to the property owner.
6.3 Delays outside our control.
If work is delayed due to an event outside our control, we will notify you as soon as possible and take reasonable steps to minimise the impact. We will not be liable for such delays. If a substantial delay occurs, you may cancel the contract and receive a refund for any unperformed services, less any unrecoverable costs incurred on your behalf.
6.4 If you do not allow access.
If you fail to provide access to your property for scheduled work (without a valid reason), we may charge for costs incurred or terminate the contract under clause 9.2.
6.5 If you do not provide required information or preparation.
We may require information or preparatory steps from you (e.g. website content, equipment locations). If you fail to provide these within a reasonable time, we may charge additional fees or terminate under clause 9.2.
6.6 Suspension of services.
We may suspend service provision to:
(a) deal with technical problems or make updates;
(b) comply with changes in laws or regulations; or
(c) make agreed changes requested by you.
6.7 Your rights if we suspend.
We will notify you in advance unless urgent. You may end the contract if suspension exceeds three months, and we will refund payments for unprovided services, less costs already incurred.
6.8 Suspension for non-payment.
If you do not pay within 7 days of a reminder, we may suspend services until payment is made. Monthly billing will continue during suspension. Interest may apply under clause 10.3.
7. Your Rights to End the Contract
7.1 When you can end the contract.
Your rights depend on what you bought and why you are ending it:
(a) faulty or misdescribed services – refund or re-performance;
(b) our breach or upcoming change – see 7.2;
(c) change of mind within the cooling-off period – see 7.3;
(d) other reasons – see 7.6.
7.2 Ending for our fault or changes.
You may end the contract immediately if:
(a) you do not agree to a proposed change;
(b) we mispriced or misdescribed the service;
(c) delays occur beyond our control;
(d) suspension exceeds three months; or
(e) we have otherwise breached the contract.
A full refund will be issued for unprovided services.
7.3 Right to change your mind (Consumer Contracts Regulations 2013).
If you bought services off-premises or online, you may cancel within 14 days of our confirmation email.
7.4 Exceptions.
You cannot cancel if:
(a) services have been fully completed; or
(b) goods become inseparably mixed with others after delivery.
7.5 Cooling-off period.
(a) For services – 14 days after order confirmation. If you cancel after work has started, you must pay for completed work up to cancellation.
(b) For goods – 14 days after receipt. A refund will be issued once goods have been returned to Clyde Communications.
7.6 Ending where we are not at fault.
You may still end a contract before completion but may owe reasonable compensation for costs incurred.

8.4 Timing of refunds.
Refunds will be made within 14 days of receiving notice of cancellation.
9. Our Rights to End the Contract
9.1 When we may end it.
We may end the contract if you:
(a) fail to pay within 14 days of reminder;
(b) fail to provide required information; or
(c) deny us access to premises within a reasonable time.
9.2 Compensation.
If we end the contract for your breach, we may deduct or charge reasonable compensation for costs incurred.
9.3 Your legal rights.
We are legally required to supply services that conform to this contract. Nothing in these terms affects your statutory rights.
10. Price and Payment
10.1 Pricing errors.
If we discover a pricing error, we will confirm the correct price before proceeding. You may cancel if you do not wish to continue.
10.2 When and how to pay.
We accept major credit/debit cards, BACS, cheque, and cash. Payment terms are stated on your quotation or invoice. Unless otherwise agreed, invoices are due within 7 calendar days of issue.
10.3 Interest on late payments.
If payment is late, we may charge interest at 8% above the Bank of England base rate, accruing daily until full payment is made.
10.4 Disputed invoices.
If you dispute an invoice, inform us promptly. No interest will accrue while the dispute is investigated.
11. Liability and Loss
11.1 Foreseeable loss.
We are responsible for foreseeable loss caused by our failure to exercise reasonable care and skill. We are not responsible for unforeseeable losses.
11.2 Legal exclusions.
We do not limit liability for death, personal injury, fraud, or other unlawful exclusions.

We accept no liability for loss of profit, business interruption, or opportunity, whether for domestic or commercial clients.
11.5 Limitation of liability.
Our total liability for any loss or damage arising under this contract shall not exceed the total amount paid by you for the services in the 12 months preceding the event giving rise to the claim.
12. Intellectual Property
All intellectual property rights in materials or digital assets created by Clyde Communications remain our property until payment is received in full. Upon full payment, ownership transfers to you unless otherwise agreed in writing.
13. Subcontractors
We may engage qualified subcontractors to perform part or all of the services. We remain responsible for the acts and omissions of subcontractors we appoint.

This contract is between you and us. No third party has rights to enforce its terms.
15.4 Severability.
If a court finds part of this contract unlawful, the remainder will continue in effect.
